Terms of Service
These terms govern your use of Tembrio. They cover your account, subscriptions and billing through our Merchant of Record, acceptable use, the limits of our liability, and how disputes are handled.

01Agreement to terms
These Terms of Service (“Terms”) form a binding agreement between you and Tembrio (“Tembrio,” “we,” “us,” or “our”) and govern your access to and use of the Tembrio website and customer-feedback platform, including public boards, roadmap, changelog, the embeddable widget, and the owner dashboard (the “Service”).
By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and the organization. If you do not agree, do not use the Service.
02Accounts & eligibility
You must be at least 16 years old and able to form a binding contract to use the Service. You agree to provide accurate account information, to keep your credentials secure, and to be responsible for all activity under your account. Notify us promptly at support@tembrio.com of any unauthorized use.
As a site owner, you are responsible for your end users' use of your boards and widget, for the content collected there, and for complying with applicable law in how you collect and use that content.
03Subscriptions & billing
Paid plans are billed in advance on a recurring basis (monthly or annual) and renew automatically until cancelled. A free tier is offered subject to the limits described on our pricing page, which we may change with notice.
Merchant of Record. Payments are processed by Dodo Payments, which acts as the Merchant of Recordfor purchases made through the Service. This means Dodo Payments — not Tembrio — is the seller of record for your transaction. Dodo Payments may appear on your bank or card statement, is responsible for collecting and remitting applicable taxes (such as VAT, GST, and sales tax), and processes refunds and chargebacks. Your purchase is also subject to Dodo Payments' terms.
- Taxes: prices are exclusive of taxes unless stated. Applicable taxes are calculated and collected by the Merchant of Record at checkout.
- Cancellation: you may cancel at any time from your billing settings; access continues until the end of the current paid period.
- Refunds:except where required by law, fees are non-refundable. Refund requests are handled in accordance with the Merchant of Record's policies.
- Price changes: we may change prices; changes apply to the next billing cycle after reasonable notice.
04Acceptable use
You agree not to, and not to permit anyone to:
- violate any law, or infringe the intellectual-property, privacy, or other rights of others;
- upload malware, attempt to breach security, probe or scan the Service, or circumvent access controls or usage limits;
- post unlawful, defamatory, harassing, hateful, or sexually exploitative content, or spam;
- reverse engineer, resell, or build a competing product from the Service, except to the extent this restriction is prohibited by law; or
- use the Service in a way that imposes an unreasonable load or disrupts its integrity or performance.
We may suspend or terminate access for violations, and may remove content that violates these Terms or applicable law.
05Your content & our IP
Your content.You and your users retain ownership of the feedback, posts, comments, logos, and other materials you submit (“Customer Content”). You grant Tembrio a worldwide, non-exclusive license to host, process, display, and transmit Customer Content solely to provide and improve the Service and as permitted by the Privacy Policy. You represent that you have the rights necessary to grant this license.
Our IP.The Service, including its software, design, and trademarks, is owned by Tembrio and protected by intellectual-property laws. Except for the rights expressly granted here, we reserve all rights. The “Powered by Tembrio” attribution on free plans may not be removed except on plans that permit it.
06Third-party services
The Service integrates with third-party services such as payment, hosting, email, AI, and engineering tools (for example, GitHub and Linear). Your use of those services is governed by their own terms, and we are not responsible for them. Enabling an integration authorizes the exchange of data necessary to make it work.
07Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED SUGGESTIONS WILL BE ACCURATE. YOU USE THE SERVICE AT YOUR OWN RISK AND ARE RESPONSIBLE FOR REVIEWING ANY AI OUTPUT BEFORE RELYING ON IT.
08Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMBRIO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
09Indemnification
You agree to defend, indemnify, and hold harmless Tembrio and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
10Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends and we may delete your data as described in the Privacy Policy. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, and indemnification) will survive.
11Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which Tembrio is established, without regard to conflict-of-law rules. To the extent permitted by law, you and Tembrio agree to first attempt to resolve any dispute informally by contacting legal@tembrio.com.
If a dispute is not resolved within 30 days, it will be resolved by binding arbitration on an individual basis, and you and Tembrio waive the right to participate in a class action, except where such waiver is prohibited by law. Nothing here prevents either party from seeking injunctive relief in a court of competent jurisdiction. Mandatory consumer-protection rights in your country of residence are not affected.
12Changes & contact
We may update these Terms from time to time. Material changes will be posted here with a new “Last updated” date, and where required we will provide notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
